Articles of Association Veritatis Silentis CIC (Community Interest Company Limited by Guarantee)

1. Company Name

Veritatis Silentis CIC (“Truth is Silent”)

A Community Interest Company registered under the Companies Act 2006, operating as a company limited by guarantee.

3. Company Purpose

The purpose of the company is to act in the interest of the public by implementing the humanitarian architecture PLATAN+ through public, educational, and institutional forms.

4. Poetic Declaration (Preamble)

Truth is silent, but it acts.
We do not adapt PLATAN+ — we translate it into law.
We do not create a company — we present a title.

5. Asset Lock

  • The company shall not distribute profits to its members
  • All income shall be used to advance the mission
  • In case of dissolution, assets shall be transferred to another CIC or charitable organisation

6. Membership and Guarantee

  • Each member undertakes to contribute up to £1 in the event of dissolution
  • Members shall not receive any private financial benefit

7. Directors

  • Minimum of one director
  • A director may be an individual or a representative of IMARCH LTD
  • Directors must act in alignment with the public-benefit mission

8. Linkage with IMARCH LTD

  • IMARCH LTD UK acts as founder and affiliated structure
  • The linkage is not corporate, but mission-based
  • Veritatis Silentis CIC serves as the public axis of the PLATAN+ architecture

9. Meetings and Decisions

  • Decisions are made by simple majority
  • All actions must align with the CIC’s mission

10. Amendments

  • Amendments are permitted only if the mission and asset lock are preserved
  • Any changes must be approved by the CIC Regulator
